Presidents Message:

In June, 1992 “new" articles of
incorporation were amended for
the OSA which stated that:
"This Corporation shall be a
mutual benefit corporation."
The bylaws of this society are
the rules by which your
organization is run by the Board
of Directors consisting of eleven
members elected to these
positions by you the members.
Recently, your Board had an
architect look at our building and
the grounds to evaluate and
recommend changes to improve
the function of the teaching space in the building; as well as what repairs are necessary to keep our 50year old building working for us.
The Board will need to review
the bylaws and I’ve appointed a
committee to recommend changes that will be brought
before you for approval in July.
Board meetings are open to all
members and are held on the
second Thursday each month
1:00 to 3:00 p.m. at the OSA
building. I invite you to attend.

Rudy Stevens,
President

Help to promote OSA in your neighborhood:

We are looking for your help to promote both OSA’s regular Art Classes and our monthly Gallery Shows. Help to enrich your community and support OSA by sharing the
word. The full color flyers and a sign-up sheet, as we want to tract distribution, are available in the gallery.

President’s Message: continued from February

Letter to the membership of OSA for March 2004:
The Oregon Society of Artists filed articles of incorporation in Oregon which became effective
December 23, 1929. These articles were completely restated
in 1963 by a resolution of the Board of Directors and by a special meeting of the members of the society in accordance with Oregon Revised Statutes 61.361 et al. In Article III of these "new" articles of incorporation it stated that the mission of this society "shall be the study, development, promotion, teaching, exhibition and understanding of fine arts" (in all forms); and also"respecting realism and styles (of painting) similar to those of "the masters".”
The 1963 rewrite also made clear in Article VI that this society would "never be operated for profit of any kind or nature", and also that "no part of the income…. Shall ever be distributed to any member, officer or director…"
Article IX states that "there shall never be any lectures, exhibits, demonstrations, teaching, fostering, aiding or abetting of any kind of art within the Oregon Society of Artists except that as described in Article III.” In June, 1992 the "new" articles of ncorporation were further amended by Article XII which states that "This Corporation shall be a mutual benefit corporation."
The bylaws of this society unfortunately have no date as to when they were adopted but a clue is present in Article III section 2b which states that the Board can authorize by 2/3rds majority operational expenditures
up to $500.00 in any one month. However expenditures greater than $500.00 require not only 2/3rds approval by the Board but also must be approved by 2/3rds approval by the membership.
It’s more than likely that these bylaws were adopted when the "new" Articles of Incorporation were adopted in 1963 - some 41 years ago.

Review of February Day Meeting:

These pictures contain three steps to the demo that Gene Gill did during the February day meeting. His approach to a figurative work is to get the hands and
face down then the rest of the shapes will follow pretty easily (for Him). He starts with a light wash of carmine and yellow ochre, building successive layers to show the form. To build shadows he adds a
permanent green to the initial combination and continues laying in planes of color and dabbing away with tissue.

Review of January Night Meeting:

At the evening meeting Allan Green's demo was a landscape. His work is influenced by his roots in eastern Oregon. He admittedly paints very opaque but is trying to move in a more transparent vein.
He paints with all flat brushes from a couple inches wide to one half inch.We just received an image of the finished piece half completed during the demo.
